Terms and conditions for using BriizPay services.

Welcome to BriizPay. These Terms of Service ("Terms") govern your access to and use of BriizPay's payment processing services, website, and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using BriizPay, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.
2. Description of Service
BriizPay provides innovative payment processing services that allow businesses to accept payments using their mobile phone or a QR code sticker, eliminating the need for traditional payment machines and expensive hardware. Our Service revolutionizes how businesses accept payments by offering:

Mobile Payment Terminal: Generate payment links or QR codes using our mobile app. Customers scan the QR code or click the link to complete payments through their banking app. No additional hardware required.

QR Code Sticker: Use our QR code sticker that you can place anywhere. Customers simply scan the QR code with their phone, which opens their banking app to approve the transaction. No tapping, no NFC - just scan and approve.

No Percentage Fees on counter plans: Unlike traditional card processors, BriizPay does not charge a percentage of each sale on the Free, Starter, Growth and Enterprise plans. You pay a fixed monthly subscription that includes a monthly allowance of transactions; transactions beyond your plan's allowance are charged a small flat per-transaction fee (see the Subscription Plans section below for current rates). The Online shop plan is the exception and is described under Transaction Fees.

High Transaction Allowances: Each plan includes a generous monthly transaction allowance. Once your allowance is used, additional transactions are charged at your plan's flat per-transaction rate, not a percentage of the sale.

Payment Links: Generate secure, shareable payment links via email, SMS, or QR code. Links can be valid for 30 minutes (Starter) or 30 days (Growth/Enterprise).

E-Receipts: Automatically send digital receipts to customers via email or SMS after each transaction.

Near Instant Settlements: Receive funds quickly after transactions are processed, improving your cash flow.

Multi-Device Support: Accept payments on multiple devices simultaneously (2 devices on Starter, 5 on Growth, unlimited on Enterprise).

3. Account Registration
3.1 Eligibility
UK Only Service: BriizPay services are currently only available to businesses operating in the United Kingdom. By registering, you confirm that:
- Your business is registered and operates in the United Kingdom
- You have a valid UK business address
- You are authorized to conduct business in the UK
- You will use the Service only for UK-based transactions
You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. By registering, you represent and warrant that:
- All information you provide is accurate, current, and complete
- You will maintain and update your information as necessary
- You are authorized to use the payment methods you register
- Your use of the Service will not violate any applicable UK law or regulation
- Your business is located and operates within the United Kingdom
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Immediately notify us of any unauthorized use of your account
- Ensure that you log out from your account at the end of each session
- Use strong passwords and enable two-factor authentication when available
3.3 Team Members
The person who registers a business on the Service is its owner. The owner may invite other people to use the Service for that business as admins or staff, up to the number of team members their plan allows. The owner does not count towards that number.
- Staff can take payments and see the business's sales. Admins can also issue refunds, manage products and payment settings, connect integrations, add funds to the business's balance and manage staff.
- Only the owner can change or cancel the plan, change the business's details or bank account, or close the business account.
- Everything a team member does for the business is done on the owner's behalf, including payments, refunds and top-ups. The owner is responsible for choosing who to invite, for the actions of their team members under these Terms, and for removing anyone who should no longer have access.
- If the owner moves to a plan with fewer team places than they are using, they must choose which team members to remove before the change. We do not remove team members without the owner's choice, but no new invites can be sent while a team is larger than its plan allows.
- A team member's own account is separate from the business. Leaving or being removed from a team does not close their account, and closing their account does not affect the business.
4. Payment Processing
4.1 Subscription Plans and Pricing
BriizPay offers the following subscription plans. The prices and allowances shown on our pricing page at the time you subscribe are the ones that apply to you.

Online shop plan: no monthly fee, for accounts with a connected online shop
- 0.5% of each payment, minimum £0.60

All subscription fees are billed in advance and are non-refundable except as required by law or at our discretion. Prices and transaction allowances are subject to change with 30 days' notice.
4.2 Transaction Fees
On the Free, Starter, Growth and Enterprise plans BriizPay does not charge a percentage of your sale. Each plan includes a monthly transaction allowance (100 on Starter, 250 on Growth); transactions beyond that allowance, and every transaction on the Free plan, are charged a flat per-transaction fee (£0.60 on Free, £0.49 on Starter, £0.39 on Growth, custom on Enterprise). Per-transaction fees are deducted from your prepaid balance, and you must keep enough balance to cover the fees on the payments you take. There are no setup fees.
Online shops. If you connect an online shop to BriizPay (for example through our WooCommerce plugin) or sign up through our online-shop pages, and you are on the Free plan, your account is placed on the Online shop plan. The Online shop plan has no monthly fee and charges 0.5% of each payment, with a minimum of £0.60 per payment, deducted from your prepaid balance. It is the only plan on which BriizPay charges a percentage. Your remaining free payments carry over, and you may move to a Starter or Growth plan at any time from your dashboard. The large-payment fee below does not apply on the Online shop plan.
Large payments. Our banking provider charges an additional fee on large payments, and we pass it on at cost. At the date of these Terms this is 0.1% of the payment amount on any single payment over £5,000, charged on every plan that has a per-transaction fee, whether or not the payment falls within your monthly allowance. The current threshold and rate are shown on our pricing page, and a payment that would incur the fee is only accepted while your prepaid balance covers it.
4.3 Referral Program
BriizPay offers a referral program where you can earn up to £25 per successful referral. Referral rewards are subject to the following terms:
- Referral rewards are paid only when the referred business successfully signs up and maintains an active subscription
- Referral codes may provide discounts to new customers (currently £5 off subscription)
- Referral rewards are paid within 30 days of the referred business's first payment
- We reserve the right to modify or terminate the referral program at any time
4.4 Payment Methods
Payments through the Service are made by bank transfer using Open Banking ("pay by bank"): your customer approves the payment in their own banking app and the money is sent from their bank account to yours. We may add further payment methods; where we do, the fees that apply to them will be shown in your plan before you can enable them. We reserve the right to add, remove, or modify supported payment methods at any time.
4.5 Refunds and Disputes
Pay-by-bank payments are settled directly to your bank account and BriizPay never holds your funds. You are responsible for refunding your customers where a refund is due, from your own account, in accordance with applicable UK consumer law. We recommend keeping clear transaction records and receipts, which the Service produces for you.
4.6 Authorised Push Payment Fraud
Under the UK Payment Systems Regulator's reimbursement rules for authorised push payment ("APP") fraud, a customer who was deceived into making a bank payment may be reimbursed by their bank, and the amount reimbursed may be recovered from the receiving payment service provider and through the payment chain. Where such a claim relates to a payment you received through the Service, the reimbursed amount is your responsibility. If our banking provider recovers or notifies us of a reimbursement in respect of a payment to you, you agree to:
- provide us, within two business days of our request, with all information we need to dispute the claim on your behalf;
- pay us the reimbursed amount within one business day of our notification, or allow us to deduct it from your prepaid balance and from any amounts we owe you; and
- accept the final determination of the relevant payment service provider on the claim.
We will notify you of any APP fraud claim as soon as we become aware of it and will pass on any dispute you raise. We may suspend the Service while a reimbursed amount remains unpaid.
5. Prohibited Activities
You agree not to use the Service for any illegal or unauthorized purpose. Prohibited activities include, but are not limited to:
- Processing payments for illegal goods or services
- Money laundering or terrorist financing
- Fraudulent transactions
- Violating any applicable laws or regulations
- Infringing on intellectual property rights
- Transmitting viruses or malicious code
- Attempting to gain unauthorized access to our systems
6. Intellectual Property
All content, features, and functionality of the Service, including but not limited to text, graphics, logos, and software, are owned by BriizPay or its licensors and are protected by copyright, trademark, and other intellectual property laws.
7. Service Availability
BriizPay services are currently only available to businesses operating within the United Kingdom. We do not currently offer our services to businesses outside the UK. We reserve the right to restrict or terminate accounts that attempt to use our Service from outside the UK or for non-UK transactions.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY UK LAW, BRIIZPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
9. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Indemnification
You agree to indemnify, defend, and hold harmless BriizPay, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.
11. Termination
11.1 By You
You may terminate your account at any time by contacting our support team or through your account settings.
11.2 By Us
We may suspend or terminate your access to the Service immediately, without prior notice, if you:
- Breach these Terms
- Engage in any fraudulent, illegal, or harmful activity
- Use the Service from outside the United Kingdom
- Process payments for non-UK businesses or transactions
- Provide false or misleading information about your UK business status
12. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and BriizPay regarding the use of the Service and supersede all prior agreements and understandings.
